By accessing or using MirrorChats ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
MirrorChats is a social platform where users can chat with AI characters for entertainment, companionship, and practicing social skills, and browse a feed of community posts and images. Users can also create their own profiles, like and interact with posts, and upgrade to a Pro or Ultra plan for additional features such as unlimited messages and expanded image and video generation.
Users may also create and publish their own AI characters on the platform through the Creator Program. User-created characters are powered by the same AI infrastructure as platform characters and are subject to the same content rules, moderation standards, and Terms described herein.
All characters on MirrorChats are fictional and AI-driven.
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use our Service. Certain features or content may require you to be older to access them. By using the Service, you confirm that you meet the applicable age requirements.
If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service and that they have agreed to these Terms on your behalf. Parents and guardians are responsible for the conduct of minors who use the Service.
You may not use the Service if you are located in, or a resident of, a country or region subject to U.S. or other applicable government embargo or sanctions, or if you are prohibited from receiving the Service under applicable law.
You may need to create an account to use certain features. You are responsible for keeping your credentials secure and for all activity under your account. Provide accurate information when signing up.

We expect users to follow our community guidelines and content policies. Be respectful of other users and use the Service in good faith.
If you create AI characters through the Creator Program, you are additionally responsible for ensuring that those characters comply with these Terms, including all content restrictions and prohibited conduct rules. You are responsible for the persona, configuration, and any content your characters produce within the bounds of the platform.
You agree not to use the Service to generate, solicit, or distribute content that exploits minors, depicts non-consensual activity, or violates applicable law. We maintain technical and policy safeguards to protect minors, prevent the exploitation or abuse of minors in any form, and ensure age-appropriate access to our Service.

Violations may result in content removal, account suspension, or permanent ban at our sole discretion.
We are committed to removing prohibited, infringing, or otherwise objectionable content from the Service promptly. If you believe that content on MirrorChats violates these Terms, infringes your intellectual property rights, or is otherwise unlawful, you may report it using the in-app report feature on any post or message, or submit a takedown request to us by email.

We will review all takedown requests and take appropriate action, which may include removing or disabling access to the content. We aim to respond to valid requests in a timely manner. We reserve the right to remove any content at our sole discretion, with or without a formal request.
We may monitor, review, and moderate content on the Service. We may remove content that violates these Terms and suspend or terminate accounts when appropriate.
Content posted by other users or generated by AI is not under our direct control. We do not endorse and are not responsible for user-generated or AI-generated content except as required by applicable law (e.g., where we have been notified and fail to act). To report objectionable content, use the in-app report feature or email support@nudgiq.io as described in Section 7 above.
Characters, conversations, and images on MirrorChats are generated by artificial intelligence and are fictional. No character represents a real person. The Service is not a substitute for real relationships or professional help.
Our Service uses AI to generate character-driven conversations. AI-generated outputs may occasionally include content that is mature, unexpected, or not suitable for all audiences. We apply content classifications and restrict access to sensitive material by default for all users.
Users who have verified that they are at least 18 years of age may adjust their content filtering preferences in their account settings. This does not affect core functionality of the Service. Access to sensitive content may be restricted or unavailable in certain jurisdictions in accordance with applicable law.
We employ automated classification systems and safety measures to identify, categorize, and restrict sensitive material. We reserve the right to modify these classifications, adjust restrictions, and update our safety systems at any time.

All visual content on MirrorChats — including character images, profile pictures, and media generated through the Service — is created entirely by artificial intelligence. No real human beings are depicted, photographed, or filmed in any content on the platform.
Any resemblance to actual persons, living or deceased, is purely coincidental. Because MirrorChats does not feature actual depictions of real persons, the record-keeping requirements of 18 U.S.C. § 2257 and 28 C.F.R. Part 75 do not apply to any content on the Service.
The Service does not provide professional advice of any kind (medical, mental health, legal, financial, or otherwise). Do not rely on it for professional help. Consult qualified professionals when needed.
We make no guarantees regarding the accuracy of AI-generated content, quality of responses, availability, or specific results. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
MirrorChats offers free and paid (Pro) plans. By subscribing to a paid plan, you agree to pay the associated fees. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We will give you reasonable advance notice of any price changes. Payments are processed through a third-party payment processor. You can manage or cancel your subscription through your account settings or the payment provider's portal.
Except as required by law or as otherwise stated at the time of purchase, fees are non-refundable. We do not provide refunds for partial billing periods or unused portions of a subscription. If you believe you are entitled to a refund under applicable law, contact us with your request.
Eligible users may create AI characters and publish them on the platform ("Creator Program"). By creating a character, you grant nudgIQ, Inc. a worldwide, non-exclusive, royalty-free license to host, display, and operate that character on the Service for so long as it remains published. All platform rules — including content restrictions, prohibited conduct, and moderation policies — apply equally to user-created characters. We reserve the right to modify, suspend, or remove any user-created character at any time for any violation of these Terms.
Creators who have completed payout onboarding may earn a revenue share of approximately 30% of the subscription revenue attributable to users who upgrade to a paid plan through interactions with their character(s). Attribution is determined on a last-click basis: the creator whose character most recently drove a user to initiate an upgrade receives credit for that subscriber. We calculate and track this attribution at our sole discretion, and our determination is final.
Revenue share amounts are estimates based on net subscription revenue received. We reserve the right to adjust the revenue share percentage, attribution model, or payout structure at any time with reasonable notice.
To receive payouts, you must complete the payout onboarding process, which includes providing a valid payout method (currently direct deposit to a bank account or debit card, or PayPal). You are responsible for providing accurate and current payout information. We are not responsible for failed or misdirected payouts resulting from incorrect information you provide.
You must be at least 18 years old to participate in the Creator Program and receive payouts. By enrolling, you represent that you meet this age requirement.
Payouts are processed manually at our discretion. We do not guarantee a specific payout schedule or minimum payout amount. We reserve the right to withhold or delay payouts pending investigation of any suspected fraud, abuse, Terms violation, or disputed activity. Payouts may be withheld or forfeited if your account is suspended or terminated for cause.
We currently support direct deposit (automatic transfers to your bank account or debit card, processed via a third-party payment processor) and PayPal (manual transfers) as payout methods. Additional payout methods may be added or removed at any time.
You are solely responsible for all taxes, duties, and reporting obligations arising from your earnings through the Creator Program. We may collect tax documentation (such as a W-9 or W-8 form) as required by applicable law. If required, we may report payout amounts to tax authorities. Nothing in this section constitutes tax advice; consult a qualified tax professional for guidance.
Participation in the Creator Program does not create an employment, agency, partnership, or joint venture relationship between you and nudgIQ, Inc. You are an independent party and have no authority to bind or represent us.
The Service and its original content, features, and functionality are owned by nudgIQ, Inc. (operating as MirrorChats) and are protected by applicable intellectual property laws.
You retain ownership of content you create (e.g., posts, messages, profile information). By posting or submitting content to the Service, you grant nudgIQ, Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute that content as necessary to operate, provide, and improve the Service. This license continues for a limited time after you remove content to allow for caching and backup.
AI-generated content (including character responses and generated images) is owned by nudgIQ, Inc. or our AI providers as applicable. You may use such content only in connection with your use of the Service in accordance with these Terms.
We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, illegal activity, abuse, fraud, or other reasons we deem appropriate. You may terminate your account at any time via account settings or by contacting us.
To the maximum extent permitted by law, nudgIQ, Inc. (operating as MirrorChats) and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, emotional distress, or damages arising from use of the Service or AI content). Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless nudgIQ, Inc. (operating as MirrorChats) and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another or applicable laws.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. To the extent permitted by law, you and we each waive any right to a jury trial and to participate in a class action or representative proceeding.
We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and AI Disclosure, constitute the entire agreement between you and nudgIQ, Inc. regarding the Service. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. We may assign these Terms or our rights and obligations hereunder without your consent; you may not assign your rights or obligations without our prior written consent.
